evergrow os (herein referred to as "the Company," "we," "us," or "our") operates as a B2B generative orchestration platform providing strategic intelligence and content execution architecture. Because our service natively integrates probabilistic machine-learning models, executing this agreement acknowledges the experimental and evolving nature of AI applications. If you do not agree to every provision of these Terms, you must immediately cease all use of our services.
2. AI Specific Definitions
Standard SaaS agreements are insufficient to map the nature of generative AI. To ensure absolute operational clarity, we define the following:
- AI Services: Specifically refers to the evergrow os platform logic, UI, and orchestration orchestration APIs that connect your brand with foundational Large Language Models (LLMs).
- AI Output: The textual, structural, or strategic content generated and returned to your dashboard or API following an instruction.
- AI Input (Prompts/Memory): The proprietary brand guidelines, tone maps, service specifications, and commands you load into our Memory Agent.
3. Intellectual Property Rights & Ownership
We respect the sanctity of your brand assets while fiercely protecting our computational architecture.
Ownership of Output: Upon full clearance of applicable fees, evergrow grants you a perpetual, non-exclusive license to utilize, modify, and monetize the final written AI Output. However, you explicitly acknowledge that current U.S. Copyright Office guidance (and international equivalents) generally denies intellectual property registration to output lacking significant human authorship. We do not warranty that you can copyright the unedited AI Outputs.
Platform IP: evergrow strictly retains all rights, title, and ownership of the underlying models, workflows, prompt recipes, the Memory Agent architectures, and the overarching platform. You may not reverse-engineer, scrape, or extract the hidden logic layers composing our systems.
4. AI Disclaimers & Absolute Limitations
The core of our technology relies on generative algorithms. As such, mathematical probability governs the output, not deterministic hard-coding.
"As-Is" Performance & Hallucinations: Output generated by the evergrow platform is provided strictly on an "AS IS" basis. AI systems inherently may produce "hallucinations" — asserting false information, quoting non-existent statistics, or rendering logically flawed conclusions. We comprehensively disclaim any warranty that the AI Output will be "error-free," "accurate," "unbiased," or "safe for deployment without human review."
The Human-in-the-Loop Duty: It is your absolute, non-delegable responsibility to review, verify, edit, and conceptually validate all AI Output before deploying it for business marketing, technical documentation, or legal compliance. evergrow acts as a sophisticated cognitive draft-engine, not an infallible final authority.
No Professional Advice: Under no circumstances does the platform configure legal, medical, financial, or certified engineering advice.
5. Strict Indemnification against Third-Party Claims
If you systematically publish AI Output that infringes upon a third party's registered trademark, copyright, or right of publicity, the liability rests solely with your organization's failure to audit the content.
You agree to fully defend, indemnify, and hold harmless evergrow, its engineers, directors, and subsidiaries from any and all legal claims, damages, platform bans (including Google algorithmic de-indexing or manual penalties), losses or expenses arising from: (a) your unverified publication of AI Outputs; (b) your violation of these Terms; or (c) third-party intellectual property infringement claims triggered by content you published via our service.
6. Acceptable Use Policy (AUP)
You are strictly prohibited from utilizing the evergrow os platform to:
- Generate defamatory, hateful, or demonstrably illegal material.
- Mass-generate disinformation or election-interference propaganda.
- Develop malware payloads, phishing architectures, or prompt-injection attacks.
- Reverse-engineer the brand profile of competitors outside the scope of fair-use market analysis.
Violation of these protocols empowers evergrow to immediately terminate your instance without refund or prior data-export rights.
7. Modifications & Jurisdiction
Because AI legislation represents the most rapidly evolving sector of modern law (e.g., the EU AI Act, localized statutory AI directives), we reserve the absolute right to unilaterally update, amend, or rewrite these terms to maintain strict regulatory compliance. We will endeavor to notify active instances of major architectural legal changes. Continued use of the platform unequivocally constitutes binding acceptance of the updated terms.
